Liability and Assumption of Risk Acknowledgement

This Liability and Assumption of Risk Acknowledgement (“Acknowledgement”) applies to all events, programs, and experiences curated, hosted, or produced by SEMI PERMANENT /「 yes, 」yes, and G.K. / YES AND 合同会社 (“we,” “our,” or “us”), including but not limited to Tokyo Salone, Moments, Nourish, Speculative Futures, Friends Of, Future Of, Thirdspace Thirdweeks Tokyo Salone, private dinners, off-the-record salons, invitation-only partner events, satellite programs, and online or hybrid experiences.

By attending, participating in, or otherwise engaging with any of our programs, you acknowledge and agree to the following.

1. Voluntary Participation

Your participation is voluntary. You choose to attend with full awareness that events may take place in a variety of environments, including private venues, restaurants, cultural spaces, partner locations, and public settings.

2. Assumption of Risk

You acknowledge that participation may involve inherent and unforeseeable risks, including but not limited to:

• Food consumption, including allergens, fermentation, raw or minimally processed ingredients
• Alcohol consumption and late-night programming
• Travel between venues, including walking, transit, or other transportation
• Crowded spaces, noise, lighting, and environmental conditions
• Physical movement or prolonged standing
• Proximity to vehicles, equipment, installations, or demonstrations
• Natural disasters common to Japan, including earthquakes and severe weather
• Illness, injury, or property loss

You voluntarily assume all such risks to the fullest extent permitted by law.

⚠️ This acknowledgement materially limits liability but does not eliminate all legal exposure in every jurisdiction.

3. Health, Dietary, and Personal Responsibility

You are solely responsible for managing your own health, dietary needs, allergies, and physical limitations.

Where Nourish or other food-related programs are involved, you acknowledge that:

• Menus may involve fermentation, alcohol, or experimental techniques
• Full ingredient disclosure may not always be possible
• You participate at your own discretion

4. Third-Party Venues and Partners

Events may involve third-party venues and partners, including but not limited to Soho House Tokyo, Midori.so, Mirai Institute–operated locations, restaurants, hotels, and cultural spaces.

We do not control, and are not responsible for, the conditions, services, or actions of such third parties. Their rules and policies apply in addition to ours.

5. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for personal injury, illness, death, property loss, or damage arising from participation
• Our total liability, if any, is limited to the amount paid for the relevant ticket, or ¥10,000 where no fee was paid

We are not responsible for indirect, incidental, or consequential losses.

6. Release and Indemnity

You release, waive, and discharge us, our directors, officers, employees, contractors, partners, and venues from any claims arising out of or related to your participation, except where liability cannot be excluded by law.

You agree to indemnify and hold us harmless from claims resulting from your actions, negligence, or failure to follow instructions or safety guidance.

7. Compliance

You agree to comply with:

• All instructions from event staff and venue personnel
• Applicable laws and regulations
• The Terms & Conditions and Code of Conduct

Failure to do so may result in removal without refund or compensation.

8. Governing Law

This Acknowledgement is governed by the laws of Japan, and any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

免責およびリスク承諾に関する同意書

本免責およびリスク承諾同意書（以下「本同意書」）は、SEMI PERMANENT /「 yes, 」yes, and G.K. / YES AND 合同会社（以下「当社」）が企画・主催・運営するすべてのイベントおよびプログラムに適用されます。これには、Tokyo Salone、Moments、Nourish、Speculative Futures、Friends Of、Future Of、Thirdspace Thirdweeks Tokyo Salone、プライベートディナー、非公開サロン、招待制パートナーイベント、関連プログラム、オンラインまたはハイブリッド形式の体験が含まれますが、これらに限定されません。

イベントまたはプログラムに参加することにより、以下の内容に同意したものとみなされます。

1. 自発的参加

参加はすべて任意であり、レストラン、文化施設、パートナー拠点、公共空間など、さまざまな環境で開催される可能性があることを理解したうえで参加するものとします。

2. リスクの承諾

参加にあたっては、以下を含む予測不能または固有のリスクが存在することを理解し、承諾します。

• 食事に伴うリスク（アレルゲン、発酵食品、生または最小限の加工食材等）
• アルコール提供および夜間プログラム
• 会場間の移動（徒歩、公共交通機関等）
• 混雑、音響、照明、環境要因
• 立位や身体的移動
• 車両、設備、展示物、デモンストレーションへの近接
• 地震や悪天候など、日本特有の自然災害
• 疾病、負傷、所有物の紛失または損害

法令で許される最大限の範囲において、これらのリスクを自ら引き受けるものとします。

※ 本条項は責任範囲を大きく制限するものですが、すべての法域において完全な免責を保証するものではありません。

3. 健康および自己管理責任

参加者は、自身の健康状態、食事制限、アレルギー、身体的制約について、自己責任で管理するものとします。

Nourish 等の食に関わるプログラムでは、

• 発酵やアルコール、実験的手法を含む場合があること
• すべての食材情報を完全に開示できない場合があること を理解したうえで、自己判断で参加するものとします。

4. 第三者施設およびパートナー

イベントは、Soho House Tokyo、Midori.so、Mirai Institute 運営拠点、レストラン、ホテル、文化施設等の第三者会場で開催される場合があります。

当社は、これら第三者の行為、管理、サービス内容について責任を負いません。各会場の規則が適用されます。

5. 責任の制限

法令で許される最大限の範囲において、

• 参加に起因する人身傷害、疾病、死亡、財産損失について当社は責任を負いません
• 当社の責任総額は、該当チケット代金、または無償参加の場合は1万円を上限とします

間接的、付随的、結果的損害についても責任を負いません。

6. 免責および補償

参加者は、法令により免責できない場合を除き、参加に関連して生じる請求について、当社および関係者を免責し、損害が生じた場合は補償することに同意します。

7. 遵守事項

参加者は、スタッフや会場担当者の指示、関連法令、利用規約および行動規範を遵守するものとします。

違反した場合、返金なく退場を求められる場合があります。

8. 準拠法および管轄

本同意書は日本法を準拠法とし、本同意書に関連する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
